Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Clerkzo (“Clerkzo,” “we,” “us,” or “our”), the AI chat widget for service businesses. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Clerkzo lets you create an AI agent trained on content you provide, embed it as a chat widget on your website, and capture leads from visitors who interact with it. Features, limits, and availability may change as we improve the Service.

2. Accounts

You must provide accurate information when registering and keep your credentials confidential. You are responsible for all activity under your account. You must be at least 18 years old and able to enter into a binding contract to use the Service.

3. Your content and training data

You retain ownership of the website content, files, and instructions you provide to train your agent (“Your Content”). You grant Clerkzo a license to host, process, and use Your Content solely to operate and provide the Service to you. You represent that you have the rights to the content you submit and that it does not infringe any third party's rights.

4. Leads and end-user data

The Service captures conversations and lead details from visitors to your website. You are the controller of that data and are responsible for handling it lawfully, including providing any notices and obtaining any consents required by applicable privacy laws. Clerkzo processes this data on your behalf as described in our Privacy Policy.

5. Acceptable use

You agree not to:

• Use the Service for anything unlawful, deceptive, harmful, or abusive.
• Deploy the widget on sites promoting illegal activity, hate, or harassment.
• Attempt to reverse engineer, disrupt, overload, or gain unauthorized access to the Service.
• Use the AI agent to generate content that is misleading, infringing, or in violation of any law.
• Resell or provide the Service to third parties except as permitted.

6. AI output

The AI agent generates responses automatically based on the content you provide and may occasionally be inaccurate or incomplete. You are responsible for reviewing your agent's configuration and for the way it represents your business. Clerkzo does not guarantee that AI output is accurate, complete, or fit for any particular purpose.

7. Plans, billing, and refunds

Paid plans are billed in advance on a recurring basis through our payment processor, Stripe. Subscriptions renew automatically until cancelled. You can cancel at any time from your dashboard; cancellation takes effect at the end of the current billing period. Except where required by law, fees are non-refundable. We may change pricing with reasonable notice.

8. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms or use the Service in a way that risks harm to Clerkzo, other users, or third parties. On termination, your right to use the Service ends and we may delete your data subject to our Privacy Policy.

9. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

10. Limitation of liability

To the maximum extent permitted by law, Clerkzo will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for any claim relating to the Service is limited to the amount you paid us in the twelve months before the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold Clerkzo harmless from claims arising out of Your Content, your use of the Service, or your violation of these Terms or of any law or third-party rights.

12. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date and, where appropriate, notify you. Continued use of the Service after changes take effect means you accept the revised Terms.
